Arizona Real Estate Attorney / Contract Specialist: Wholesale Disclosures & LLC Protection
I am seeking a legal professional or an expert contract specialist with deep knowledge of Arizona real estate law to draft a comprehensive, "lawsuit-proof" wholesale purchase agreement and assignment contract. The primary goal is to ensure full compliance with A.R.S. § 44-5101 regarding wholesale disclosures while providing maximum liability protection for my investment LLC. Key Requirements & Deliverables Statutory Compliance: The contract must explicitly include the mandatory written disclosures required by Arizona law for both wholesale buyers and wholesale sellers. It must clearly state the nature of equitable interest and the potential inability to convey title as per A.R.S. § 44-5101(A). LLC Indemnification: Draft robust "hold harmless" and indemnification clauses to protect my LLC from litigation arising from seller disputes or end-buyer defaults. Contingency Clauses: Include clear language regarding earnest money, inspection periods, and the right to cancel without penalty if disclosure requirements are met.
