[Remote] Legal Counsel, Real Estate & Development

The Legal Counsel (Real Estate & Development) role involves providing legal support for the company's data center and energy infrastructure projects, managing documentation, and acting as the primary legal liaison for various teams.
Responsibilities
- Draft, review, and negotiate letters of intent, land options, purchase agreements, easements, access agreements, tax abatement agreements, share facilities agreements, construction contracts, long lead equipment procurement agreements, costs in aid of construction agreements, interconnection agreements and other ancillary development documents
- Provide legal support on project finance and real estate loan transactions, including loan documents, infrastructure agreements, power-related agreements, and leases with data center end users
- Manage the documentation lifecycle for the company’s data center development and energy infrastructure projects, ensuring all agreements are executed with precision and align with the company’s strategic objectives
- Act as the primary legal liaison for the development, operations, asset management, energy origination and strategic financing teams
- Coordinate with outside counsel, title agents, surveyors, and environmental consultants to ensure that every site is thoroughly vetted and prepared for commercialization
- Conduct and coordinate legal due diligence, including review of title commitments, ALTA surveys, environmental reports, and zoning analyses
Skills
- Active license to practice law in at least one U.S. State and a member in good standing of one U.S. Bar
- 3+ years of experience in commercial real estate, infrastructure, or energy law, with a focus on land acquisition, site control, and transactional diligence
- Proven track record of drafting and negotiating front-end real estate documents: LOIs, purchase options, purchase and sale agreements, easements, and access agreements
- Experience coordinating with title companies, surveyors, and environmental consultants on large-scale land or infrastructure transactions
- Familiarity with project finance or real estate loan transactions is a plus
- Experience in data center, energy, or digital infrastructure is a plus but not required
